Elevion Group completes acquisition of BTS Biogas, significantly strengthening its European renewable gas platform

Elevion Group, a European provider of decarbonisation, energy efficiency and distributed energy solutions and part of the ČEZ Group, today announces the successful completion of its acquisition, through Elevion Italy, of 100% of BTS Holdings Italy and its subsidiaries.
The acquisition represents Elevion Group’s largest investment in the biogas and biomethane sector to date. It significantly expands the Group’s established renewable gas platform and strengthens Elevion’s position across the entire bioenergy value chain.
Building on Elevion’s existing portfolio of nine biogas and biomethane units in Northern Italy, the transaction adds nine co-owned plants, of which three are already operational and six are undergoing conversion to biomethane. The enlarged platform therefore comprises 18 biogas and biomethane units.
The transaction goes well beyond the addition of production assets. BTS brings more than 25 years of sector experience, proprietary technologies, dedicated biological expertise and a track record of more than 270 plants delivered. Its capabilities span research and development, engineering, turnkey construction, plant management, biological process optimisation, and operation and maintenance of both BTS and third-party technologies.
Together with Elevion’s existing capabilities, including Metrolog’s experience in biogas plant engineering and the feed-system, combined heat and power, operation and maintenance, and laboratory expertise available within SERCOO Group companies, BTS significantly strengthens Elevion’s ability to cover the full lifecycle of biogas and biomethane infrastructure.

Strategic rationale
Biomethane is an important component of the European energy transition. It provides a renewable substitute for natural gas, can use existing gas infrastructure and supports the decarbonisation of industry, heating and transport while contributing to regional energy security.
The acquisition strengthens Elevion’s investment proposition through a larger portfolio of renewable gas assets, comprehensive coverage of the biomethane value chain and an increased share of recurring activities arising from plant operation, maintenance, laboratory services, biological optimisation, spare parts and modernisation.
The combination also creates opportunities across Elevion’s broader customer offering. BTS’s technology, EPC and biological capabilities complement Elevion’s existing assets and industrial expertise. Elevion’s European footprint and customer relationships, in turn, provide a strong platform for BTS’s technology, engineering, construction, operation and maintenance services.
Metrolog contributes relevant engineering experience from the development and construction of biogas infrastructure. SERCOO Group companies add complementary expertise in feed systems, combined heat and power, engine services, plant maintenance, biogas operation and maintenance, and laboratory services. Together, these capabilities strengthen Elevion’s ability to serve customers and assets throughout the full lifecycle of renewable gas projects.
The enlarged platform also enables biomethane to be combined with Elevion’s wider portfolio of energy efficiency, distributed energy and renewable generation solutions. Relevant applications include renewable gas supply for industrial customers, high-efficiency combined heat and power, treatment and conversion of organic waste streams, plant modernisation and integrated industrial decarbonisation solutions.
Through this combination, Elevion is creating a differentiated European renewable gas platform that connects ownership of energy-transition assets with industrial technology, engineering and recurring operational services. The transaction reinforces the Group’s strategy of building scalable, asset-backed decarbonisation businesses with long-term customer relationships and multiple sources of value creation.
